Store Operator Addendum

(Store & Commerce Terms — Sections 9 and 9A)

Last Updated: January 21st, 2026
This Addendum is part of: Pickleheart Community Operator Terms & Conditions (the “Community Operator Terms”)
Company: Strivers United Inc., a Delaware corporation, doing business as “Pickleheart” (“Pickleheart,” “we,” “us”)
You: The individual accepting this Addendum (“you”), who is also a Community Operator under the Community Operator Terms.

Important: Opt-In Required

This Addendum applies only if you enable or use Store Features. By clicking “I Agree” (or otherwise accepting this Addendum), you agree to be bound by this Addendum in addition to the Community Operator Terms.

If there is a conflict between this Addendum and the Community Operator Terms regarding Store Features, this Addendum controls for Store Features.

9. Store & Commerce (Optional)

Summary: Store Features are optional. Pickleheart operates the commerce infrastructure, processes customer payments, and controls customer-facing checkout and commerce policies. You may be offered tools to configure a “storefront” experience and earn Store Commissions, subject to these terms.

9.1 Definitions (Store-Specific)

For purposes of this Addendum:

(a) “Store Features” means Pickleheart’s optional commerce features, including store pages, product listings, unique product links, shopping cart, checkout, order processing, fulfillment coordination, and reporting dashboards.

(b) “Storefront” means any Community-branded or Community-associated store page, collection, or experience on the Platform.

(c) “Store Operator” means a Community Operator who has affirmatively accepted this Addendum and is permitted by Pickleheart to use Store Features.

(d) “Products” means items offered through Store Features, which may include:
(i) Operator‑Branded Products (products bearing your logo or marks),
(ii) Pickleheart‑Branded Products,
(iii) Memberships (if offered through checkout), and
(iv) Third‑Party Products (including pickleball equipment such as paddles and accessories).

(e) “Operator Marks” means your (or your Community’s) names, logos, trademarks, service marks, and brand identifiers you provide, upload, or authorize for use on the Platform.

(f) “Product Link” means a unique product URL or deep link generated or recognized by Pickleheart that may be used to attribute orders or line items for Store Commission purposes.

(g) “Qualifying Purchase” means an order or line-item purchase that Pickleheart determines, in its sole discretion, qualifies for Store Commission credit under Section 9A.

9.2 Pickleheart Operates the Commerce Infrastructure; Seller-of-Record

(a) Technology + checkout. You acknowledge and agree that Pickleheart provides the Store Features as part of the Platform’s technology infrastructure.

(b) Payments and processing. You acknowledge and agree that Pickleheart (or its payment processors) processes customer payments and administers checkout.

(c) Customer relationship. You acknowledge and agree that customers purchasing through the Store Features are customers of Pickleheart for purposes of payment processing, order handling, and customer-facing commerce administration.

(d) No ownership of Store Features. You acknowledge and agree that Store Features and Storefronts are part of Pickleheart’s Platform. A Storefront is not your property and cannot be sold.

9.3 Product Catalog; Availability; Substitutions; Third Parties

(a) Catalog control. Pickleheart may add, remove, suspend, or change Products, categories, suppliers, fulfillment partners, or specifications at any time.

(b) Availability. Pickleheart does not guarantee that any Product will remain available.

(c) Third parties. You acknowledge and agree that Pickleheart may use third-party suppliers, manufacturers, brands, distributors, or fulfillment partners to fulfill Products (including Operator‑Branded Products and Third‑Party Products).

(d) Product changes. Pickleheart may update Product descriptions, images, and specifications. Some variations may occur due to manufacturing processes and supplier changes.

9.4 Operator Marks; Your Permissions; Our Use

(a) You retain ownership. As between you and Pickleheart, you retain ownership of your Operator Marks.

(b) License to Pickleheart. You grant Pickleheart a non-exclusive, worldwide, royalty-free, fully paid, sublicensable, transferable license to use your Operator Marks and related brand assets to:
(i) create, market, display, and sell Operator‑Branded Products,
(ii) operate Store Features and Storefronts,
(iii) promote the Platform, Store Features, and Storefronts, and
(iv) otherwise operate and improve the Platform and Pickleheart’s programs and mission,
in each case in any media and through any channels.

(c) Rights clearance. You represent and warrant that you have all rights and permissions necessary to grant the license in Section 9.4(b) and to authorize Pickleheart to display, manufacture, promote, and sell Products bearing your Operator Marks.

(d) Removal for concerns. Pickleheart may remove or restrict Products, listings, or Operator Marks at any time for policy, legal, safety, integrity, reputational, or operational reasons, including in response to intellectual property complaints.

9.5 Control of Operator‑Branded Product Pricing (Min/Max)

(a) Pickleheart sets a permitted range. For Operator‑Branded Products, Pickleheart may establish a minimum and maximum retail price (or an allowed pricing range) for each Product.

(b) Your pricing within the range. If the Platform provides pricing controls, you may set your retail price for your Operator‑Branded Products only within the permitted pricing range.

(c) Requests to increase maximum price. Pickleheart may (but is not obligated to) allow an increased maximum retail price for certain Products. If Pickleheart approves an increased maximum, you acknowledge and agree that the underlying base cost and/or the economics used to calculate Store Commission for those Products may increase and will be reflected in your dashboard or settings.

(d) Pickleheart may change ranges. Pickleheart may change minimums, maximums, base costs, and permitted ranges at any time (including due to supplier cost changes or operational constraints).

9.6 Storefront Presentation vs. Legal Reality

(a) “Feels like your store.” You acknowledge and agree that Pickleheart may present a Storefront in a way that is community-forward and branded, but this is a product experience and does not change the legal relationship described in these Terms.

(b) No agency. Nothing in this Addendum creates a partnership, franchise, joint venture, agency, employment, or fiduciary relationship between you and Pickleheart.

9.7 Customer-Facing Terms (Refunds, Shipping, Support)

(a) Pickleheart controls customer-facing policies. Customer purchases through Store Features are governed by Pickleheart’s customer-facing Terms of Sale, Refund Policy, and Shipping Policy (as published and updated by Pickleheart).

(b) No conflicting promises. You may not promise customers any return, exchange, refund, guarantee, delivery date, or warranty terms that conflict with Pickleheart’s published customer-facing policies or the Product page terms.

(c) Customer communications. Pickleheart may communicate directly with customers regarding orders, shipping, delivery, issues, and policy administration.

9.8 Stopping Sales of Products with Your Operator Marks

(a) Your request to stop selling. If you want to stop offering any Operator‑Branded Product (or any Product bearing your Operator Marks), you may submit a request through the Platform (if available) or by contacting Pickleheart support.

(b) Effect of request. Upon a valid request, Pickleheart will make commercially reasonable efforts to stop offering new sales of the requested Operator‑Branded Products within a reasonable period of time.

(c) Orders already placed. You acknowledge and agree that Pickleheart may continue to:
(i) fulfill orders already placed,
(ii) handle customer issue resolution under Pickleheart’s policies, and
(iii) maintain records and historical displays as needed for Platform operations, fraud prevention, legal compliance, and reporting.

9.9 Marketing, Disclosures, and Compliance

(a) Truthful marketing. If you promote Products or Storefronts, you agree to do so in a truthful, non-deceptive manner and in compliance with applicable laws (including endorsement and disclosure rules).

(b) Affiliate-style disclosure. You agree to clearly disclose, where required, that you may earn Store Commission or other benefits if customers purchase through your links or Storefront.

(c) No spam or unlawful promotion. You agree not to use unsolicited messages or unlawful advertising methods to promote Store Features.

9A. Earnings, Attribution & Revenue Sharing (Store Only)

Summary: Store commissions are affiliate-like earnings that Pickleheart may credit when qualifying purchases occur. Attribution is based on the Product Link used to add-to-cart, and commissions may be adjusted for cancellations, returns, refunds, or chargebacks. Pickleheart will not pay more than 100% of the commission pool and may split commissions at its discretion.

9A.1 Store Commission Model

(a) Store Commissions. Pickleheart may make available a revenue share / affiliate-like commission (a “Store Commission”) for Qualifying Purchases attributable to you.

(b) Not wages. Store Commission is not a salary or wage and does not create an employment relationship.

(c) Discretion to offer; not guaranteed. Pickleheart may offer, change, limit, or discontinue Store Commissions for any Product category, Storefront, or Store Operator at any time.

9A.2 Commission Schedules and What Products May Earn

(a) Different product categories. Store Commission may apply differently (or not at all) across:
(i) Operator‑Branded Products,
(ii) Pickleheart‑Branded Products,
(iii) Memberships, and
(iv) Third‑Party Products (including paddles and equipment).

(b) Displayed terms control. The applicable commission rates, formulas, “base costs,” and/or earnings estimates may be displayed in your dashboard, store settings, product listing tools, or other Store Features. Those displayed terms are part of the Store Earnings Terms for that Product category.

(c) Exclusions. Pickleheart may exclude from Store Commission credit, including without limitation: taxes, shipping, discounts, coupons, refunds, voided orders, fraudulent orders, or other adjustments, as determined by Pickleheart.

9A.3 Attribution and Tracking

(a) Link-based attribution. Store Commission attribution is tracked based on the exact Product Link used to add the Product to the customer’s cart (or another attribution method Pickleheart designates in Store Features).

(b) Multiple stores; multiple touches. You acknowledge and agree that:
(i) the same Product may be available in multiple Storefronts,
(ii) customers may visit multiple Storefronts, and
(iii) attribution is determined at the line-item level based on Product Link attribution (or other Pickleheart-designated tracking), not on a general “last store visited” assumption unless Pickleheart explicitly adopts that rule.

(c) Ambiguity and integrity controls. If attribution is uncertain, manipulated, or disputed (including due to copied links, reposting, or technical limitations), Pickleheart may determine attribution in its sole discretion.

9A.4 Commission Pool Cap and Discretionary Splits

(a) No more than 100%. Pickleheart will not pay out more than 100% of the total commission amount available for a given Qualifying Purchase (the “Commission Pool”), as determined by Pickleheart.

(b) Discretionary split. In certain situations (including disputes, shared promotion, or ambiguous attribution), Pickleheart may split the Commission Pool between two or more Store Operators. This allocation decision is solely at Pickleheart’s discretion.

9A.5 When Store Commissions Are Credited

(a) Physical goods. For Products that ship, Store Commissions (if any) are typically credited after the relevant order or line item is fully shipped (or otherwise marked fulfilled), as determined by Pickleheart.

(b) Memberships. For Memberships (if offered), Store Commissions (if any) are typically credited after:
(i) the customer successfully completes the first payment, and
(ii) any applicable cancellation/refund period for that first payment has expired (if applicable).

(c) Estimates vs. final. Any earnings displayed prior to fulfillment may be estimates and are not final until credited.

9A.6 Adjustments, Deductions, and Negative Balances

(a) Refunds and cancellations reduce earnings. If an order or line item is canceled, returned, refunded, charged back, or reversed for any reason, Pickleheart may reduce or reverse related Store Commission credit.

(b) Offsets after payout. If Pickleheart has already paid you Store Commissions that later become subject to reversal (for example, due to a refund or chargeback), Pickleheart may deduct the relevant amount from:
(i) future Store Commissions,
(ii) any payable balances, and/or
(iii) other amounts owed to you, to the extent permitted by law.

(c) Fraud and abuse. Pickleheart may withhold, reverse, or deny Store Commissions associated with suspected fraud, manipulation, self-dealing, or abuse of Store Features.

9A.7 Reporting and Customer Information

(a) Reporting access. Pickleheart may provide Store Operators with dashboards or reports showing Product performance, attributed sales, and earnings.

(b) Customer data limits. You acknowledge and agree that customer personal information is controlled by Pickleheart and the customer. Pickleheart may limit or redact personal information in reports and may provide aggregated or de-identified reporting.

9A.8 Payouts and Store Credits

(a) Payout method. Pickleheart may offer one or more payout methods (for example ACH, PayPal, or other methods) and may change payout methods over time.

(b) Payout requirements. You agree to provide any information Pickleheart reasonably requires to pay you, including tax forms and payout details. Pickleheart may pause payouts until required information is received.

(c) Optional store credits. Pickleheart may allow you, upon request and subject to Pickleheart approval, to convert some or all payable Store Commissions into Pickleheart store credits that may be used to purchase Products through Store Features.

(d) Credits are not a tax workaround. You acknowledge and agree that store credits may still be treated as taxable income depending on your circumstances. Pickleheart does not provide tax advice.

(e) Cash remains available for payable amounts. Unless otherwise required by law or policy, Pickleheart will not require you to accept store credits in place of cash payouts for Store Commissions that are payable under this Addendum.

9A.9 Taxes

(a) Your responsibility. You are solely responsible for all taxes and tax reporting arising from Store Commissions or other amounts you receive.

(b) Withholding. Pickleheart may withhold taxes or withhold payouts if required by law or if you fail to provide required documentation.

9A.10 Suspension or Termination of Store Features

(a) Pickleheart may terminate Store Features. Pickleheart may suspend or terminate your access to Store Features at any time, including for violations of the Community Operator Terms, this Addendum, or platform integrity concerns.

(b) Effect on commissions. Upon suspension or termination, Pickleheart may:
(i) stop crediting new Store Commissions,
(ii) continue to process orders already placed, and
(iii) apply any reversals, deductions, or offsets under Section 9A.6.

(c) Forfeiture for fraud. If termination is due to fraud, manipulation, or unlawful conduct, Pickleheart may, to the extent permitted by law, withhold or forfeit unpaid Store Commissions.

Incorporation of Other Terms

This Addendum incorporates by reference the Community Operator Terms, including (without limitation) the Platform change rights, content/IP provisions, and dispute resolution provisions (including arbitration, if included in the Community Operator Terms).
